1. Acceptance
By creating an account or using SanadWA, a product of SanadWA Company (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
SanadWA, operated by SanadWA Company, is a WhatsApp Business messaging platform that connects to the WhatsApp Business Cloud API and provides tools for receiving, organizing, and sending customer messages.
3. Eligibility & Accounts
You must be at least 18 years old and authorized to bind any business you represent. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam) or violate WhatsApp's Business Messaging Policy or Commerce Policy.
- Send fraudulent, deceptive, defamatory, harassing, hateful, or illegal content.
- Impersonate any person or entity, or misrepresent your affiliation.
- Reverse-engineer, scrape, overload, or otherwise interfere with the Service.
- Use the Service for any purpose prohibited by applicable law.
We may suspend or terminate accounts that violate these rules, with or without notice.
5. Subscription & Payment
Paid plans are billed in advance for the term you select (monthly or annual). Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes take effect at the next renewal.
6. Your Content
You retain ownership of the content you send through the Service (messages, contact lists, templates, etc.). You grant us a limited license to process that content solely to operate the Service for you.
7. Our Intellectual Property
The Service, including its software, branding, and design, is owned by SanadWA Company. You may not copy, modify, or create derivative works without permission.
8. Third-Party Services
The Service depends on WhatsApp / Meta Platforms and may be affected by their availability, terms, or policy changes. We are not responsible for outages or decisions made by third parties.
9. Termination
You may close your account at any time. We may suspend or terminate access for breach of these Terms or for legal/operational reasons. Upon termination, your right to use the Service ends and remaining fees become due.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service shall not exceed the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
12. Indemnification
You agree to defend and hold us harmless from any claim arising from your use of the Service, your content, or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute shall be resolved exclusively in the courts of Riyadh, unless mandatory law provides otherwise.
14. Changes
We may update these Terms. We will post the updated Terms here with a new "Last updated" date. Continued use after changes constitutes acceptance.
